Make sure you let the RTV cure before you put the manifold on, or it'll all OOOOOOOOOOOOOOOZE out. :D

Hillie,
That's a short question with a long answer (to be thorough).
If you never witnessed one being R&R'd before, I would caution you to have an experienced buddy help out (me not knowing your level of experience).
I live on the northwest side of town. If you want, you can bring it over and I'll 'supervise' while you strip, I mean, torque the bolts.
Good Luck,
Rick

My brother is a mechanic, so he does it for a living, he's only been doing it for about 9 months though, and he hasn't changed a 5.0 intake before. I'm confident in his abilities, and I've done lots of work on carbed engines before. I've just never done EFI work before, no experience removing fuel rails, etc. Also a few people have told me that the intake won't make any difference unless I change the MAF and TB at the same time....please tell me this isn't true...I'm a POMOFO and don't have the money for the MAF or the TB or bigger injectors right now....

It's fairly easy.
If you haven't already replaced the sensors in the intake, now would be a good time. That includes AIC, ECT and the temp gauge sending unit. I think that's it. I used Ultra Black on the lower intake and tossed the rubber end gaskets. Do any trimming to the lower intake gaskets and make sure you stuff paper towels or something into the ports while removing old gasket material. Uhhhh.....oh yeah....label the vacuum and electrical connections if you aren't real familiar with them. Other than that it is pretty easy. Make sure you have TB/EGR gaskets.
This is obviously coming off the top of my head. These are just things I thought of real quick. Hope it helps a little.

Don't forget you'll need to change the engine oil as well, because when you pull the lower intake off, the water from the engine will drain into the lifter valley, even if the car has set for a day or two, it'll still have the water in it. Also, if you have access to some studs to use in the lower, it helps out a lot on putting the lower back in place (with RTV on, you don't want to be sliding the intake around too much). This way with the studs installed, you just slide the lower down over them and start bolting down. Make sure you have a manual with torque specifications and order.
I just traded a Performer Intake for a Victor and installed the lower intake this weekend, but a problem with the EGR hitting the FPR is preventing the upper install at the moment. Waiting on a cure.

Well, it turned into a three day project so far, Edelbrock did not include all the correct plugs or vacuum fittings. Now everything is in, started filling the rad, and I have an antifreeze leak at the thermostat housing..doing the gasket tomorrow, luckily my dad is going to let me borrow his truck so I can drive to work. Also I didn't have to mop any coolant out of the valley, i open one of the coolant drains in the block, the smartest thing I've done so far, had NO problems with the coolant in the intake.
